Terms and Conditions
Review the terms governing your access to and use of NFC Vault's cloud storage, file sharing, synchronization, collaboration, and backup services.
Last Updated: 26 October 2026
1. Introduction
Welcome to NFC Vault, a cloud-based file storage, sharing, synchronization, collaboration, and backup service available through https://www.nfcvault.com/ (the “Website” or “Service”).
These Terms and Conditions (“Terms”) govern your access to and use of NFC Vault, including its website, applications, cloud storage infrastructure, file management features, subscription plans, and related services.
In these Terms, “NFC Vault,” “we,” “us,” and “our” refer to the legal entity that owns and operates the NFC Vault service. “You” and “your” refer to the individual or organization accessing or using the Service.
By creating an account, purchasing a subscription, accessing the Service, or using any of its features, you agree to these Terms. If you do not agree, you must not use the Service.
If you use NFC Vault on behalf of a company or another organization, you represent that you are authorized to accept these Terms on its behalf. In that case, “you” may refer to both you and that organization.
2. Eligibility and Account Registration
You must have the legal capacity to enter into a binding agreement to use the Service. If you are using NFC Vault on behalf of an organization, you must have authority to bind that organization to these Terms.
To access certain features, you may need to create an account and provide accurate, current, and complete information.
You are responsible for:
- Maintaining the accuracy of your account information.
- Keeping your login credentials confidential.
- Protecting access to your account and connected devices.
- Enabling appropriate security measures, including multi-factor authentication where available.
- Promptly notifying us if you suspect unauthorized access or account compromise.
You are responsible for activities conducted through your account, except to the extent caused by our failure to meet an applicable legal obligation or other responsibility that cannot lawfully be excluded.
We may require identity or account verification where reasonably necessary for security, fraud prevention, compliance, or service administration.
3. Description of the Service
NFC Vault provides cloud-based services that may include:
- Uploading, storing, organizing, and accessing files.
- Synchronizing files across supported devices.
- Sharing files and folders with authorized users.
- Managing user access and permissions where supported.
- Collaborating on files and folders.
- Maintaining backups, file versions, or recovery options where included in your plan.
- Managing business users, accounts, and storage allocations where supported.
- Accessing related support and account-management features.
Available features, storage limits, supported devices, integrations, and administrative controls may vary by subscription plan and may change over time.
We will make reasonable efforts to describe the Service and its limitations accurately. Features should not be considered included in your subscription unless they are identified in your applicable plan, order, or written agreement.
4. Account Types and Business Use
NFC Vault may offer individual, professional, business, or other subscription plans.
If you purchase or access the Service through an organization, your organization may control certain aspects of your account, including user access, shared files, administrative permissions, and subscription management.
If you are an authorized user of an organization’s account, your access may be governed by your organization’s policies and instructions in addition to these Terms.
The organization administering your account may be able to access, manage, retain, or remove content and account information within its administrative authority. Contact your organization’s administrator for questions about organization-managed accounts.
5. Subscriptions, Fees, and Payments
Certain features of NFC Vault may require a paid subscription.
Before purchasing a subscription, you should review the applicable plan, price, billing frequency, storage allocation, user limits, feature restrictions, taxes, and other relevant terms presented at checkout or in your order.
By purchasing a paid subscription, you authorize the applicable payment provider to charge the fees disclosed to you at the time of purchase and any subsequent renewal fees that you have authorized.
Unless expressly stated otherwise:
- Subscription fees are payable in advance for the applicable billing period.
- Taxes, duties, or similar charges may be added where required by law.
- Storage limits, user limits, and included features are determined by your selected plan.
- Additional fees may apply if you purchase upgrades, add-ons, or additional capacity.
- You must keep your billing information current where required for payment processing.
If a payment fails, we may notify you and request updated payment details. Subject to applicable law and any applicable agreement, we may restrict paid features, suspend the account, or terminate the subscription if payment remains outstanding.
We will not charge you for optional paid upgrades unless you authorize the purchase or the charge is otherwise permitted by your agreement and applicable law.
6. Subscription Renewal, Cancellation, and Refunds
Subscription renewal, cancellation, downgrade, and refund rules are governed by the terms shown when you purchase the subscription and by our applicable Refund and Cancellation Policy.
If your subscription renews automatically, the renewal terms and applicable charges should be disclosed at the time of purchase.
You may cancel a subscription using the available account settings or by contacting our support team, as applicable. Cancellation generally prevents future renewals but does not automatically entitle you to a refund for fees already paid.
Refund eligibility, processing timelines, and any exceptions are subject to the applicable refund policy, your order terms, and mandatory consumer protection laws.
If you cancel or downgrade a subscription, storage limits, premium features, or access to certain functions may change. You are responsible for reviewing your account’s storage usage and exporting or relocating any content that may exceed the limits of your remaining plan.
7. Your Content and Ownership
You retain ownership of the files, documents, images, videos, and other materials that you upload to or store through NFC Vault (“Customer Content”), subject to any rights belonging to third parties.
These Terms do not transfer ownership of your Customer Content to us.
You grant NFC Vault a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, display, process, and otherwise use Customer Content only as reasonably necessary to provide, maintain, secure, troubleshoot, and support the Service, comply with legal obligations, and carry out actions you or your authorized administrators request.
This license lasts for the period necessary to perform those purposes, subject to applicable retention, backup, and legal requirements. It does not give us a general right to sell your files or use their substantive contents for unrelated purposes.
You represent that you have the rights, permissions, and legal authority necessary to upload, store, share, and process your Customer Content through the Service.
You are responsible for ensuring that your use of Customer Content complies with applicable law, third-party rights, and any confidentiality obligations that apply to you.
8. File Sharing and Permissions
NFC Vault may allow you to share files or folders with other users through invitations, access permissions, links, or similar functionality.
When using sharing features, you are responsible for:
- Selecting the correct recipients and access permissions.
- Reviewing whether a link or invitation permits access by anyone who possesses it.
- Removing access when it is no longer required.
- Avoiding the sharing of confidential or sensitive information with unauthorized persons.
- Ensuring that sharing complies with applicable laws and contractual obligations.
Depending on the feature and settings used, recipients may be able to view, download, copy, or further distribute shared content.
We cannot control how recipients use content after they have lawfully received or downloaded it. You should use appropriate access restrictions and security measures when sharing sensitive information.
We may restrict or disable a sharing link or sharing feature where reasonably necessary to address a security risk, suspected abuse, a legal requirement, or a violation of these Terms.
9. Your Responsibilities
You agree to use NFC Vault responsibly and only for lawful purposes.
You must not:
- Use the Service to violate any applicable law or regulation.
- Upload, store, distribute, or share content that infringes intellectual property, privacy, confidentiality, or other third-party rights.
- Upload or distribute malware, ransomware, viruses, malicious scripts, or other harmful code.
- Use the Service to conduct fraud, phishing, scams, identity theft, or other deceptive activities.
- Attempt unauthorized access to accounts, systems, networks, infrastructure, or data.
- Probe, scan, or test the vulnerability of the Service without our prior written authorization.
- Interfere with, disrupt, or impair the security, integrity, or availability of the Service.
- Circumvent subscription limits, storage restrictions, authentication mechanisms, or access controls.
- Reverse engineer, decompile, or attempt to extract source code from the Service except where such restrictions are prohibited by applicable law.
- Use automated means to access or collect data from the Service in a manner that violates our policies or imposes unreasonable infrastructure load.
- Resell, sublicense, or commercially exploit the Service unless expressly permitted by us in writing or under an applicable reseller agreement.
- Use the Service to store or distribute content that is illegal in the relevant jurisdiction.
You must not use NFC Vault in a manner that creates unreasonable risk to other customers, our infrastructure, or the security and reliability of the Service.
Additional restrictions may be set out in our Acceptable Use Policy.
10. Storage Limits, Backups, and Data Recovery
Your subscription may include storage limits, file-size restrictions, transfer limits, version history, recycle-bin functionality, or backup and recovery features.
You are responsible for understanding the limits and retention periods applicable to your plan.
Although NFC Vault may provide backup, synchronization, version history, or recovery functionality, you should not treat the Service as your sole copy of important data unless your applicable service agreement expressly provides otherwise.
Synchronization is not necessarily the same as an independent backup. For example, deleting or modifying a file in one location may cause the change to propagate to other synchronized locations.
Recovery may be limited by the features enabled for your account, the applicable retention period, the type of deletion or modification, and technical constraints.
You are responsible for maintaining any additional copies of important information needed for your business continuity, regulatory obligations, or recovery requirements.
We do not guarantee that every deleted, corrupted, overwritten, or lost file can be recovered.
11. Service Availability and Maintenance
We aim to provide a reliable Service, but uninterrupted access cannot be guaranteed unless an applicable written Service Level Agreement expressly provides otherwise.
The Service may occasionally be unavailable or degraded because of scheduled maintenance, emergency maintenance, software updates, infrastructure failures, network issues, third-party service disruptions, security incidents, or events outside our reasonable control.
Where reasonably practicable, we will seek to provide advance notice of material planned maintenance.
Any uptime commitment, service credit, support response time, or availability remedy applies only if expressly set out in an applicable Service Level Agreement or written order.
Marketing descriptions or general availability statements do not replace the terms of a specific signed agreement.
12. Security and Account Protection
We use security measures intended to protect the Service and the information processed through it. However, no internet-based service or storage system can be guaranteed to be completely secure.
You are responsible for protecting your credentials, securing devices used to access the Service, managing user permissions, and promptly reporting suspected security incidents involving your account.
You must not share credentials in a way that compromises account security or allow unauthorized persons to access your account.
If we identify a credible security threat, we may take reasonable measures to protect the Service and affected users, including requiring password resets, revoking sessions, restricting access, or temporarily suspending affected features.
Specific security features and responsibilities may vary by plan and may be described in separate security documentation or an applicable business agreement.
13. Privacy and Personal Data
Our collection and use of personal information are described in the NFC Vault Privacy Policy.
By using the Service, you acknowledge that you have had the opportunity to review the Privacy Policy.
If you use NFC Vault to store or process personal information relating to other individuals, you are responsible for ensuring that you have an appropriate legal basis and any required notices, consents, permissions, or contractual arrangements.
Where we process personal data on your behalf as a service provider or processor, the parties may need to enter into a separate Data Processing Agreement (“DPA”). If a DPA applies, it governs the parties’ data-processing obligations to the extent specified in that agreement.
14. Third-Party Services and Integrations
NFC Vault may work with third-party providers, integrations, applications, payment processors, storage infrastructure, or other services.
Third-party services may be subject to their own terms, privacy policies, availability conditions, and technical limitations.
We are not responsible for independent third-party products or services that we do not operate, except to the extent required by applicable law or expressly agreed in writing.
If you enable or use a third-party integration, you are responsible for reviewing its terms and permissions and determining whether it is appropriate for your needs.
15. Intellectual Property Rights
The Service, including its software, interface, design, branding, logos, documentation, and related materials, is owned by or licensed to NFC Vault and is protected by applicable intellectual property laws.
Except for the limited right to use the Service in accordance with these Terms, no ownership rights are transferred to you.
You must not copy, modify, distribute, publicly display, sell, lease, or create derivative works from our intellectual property except where expressly authorized or permitted by law.
If you provide feedback, suggestions, or ideas about the Service, you grant us permission to use that feedback to improve or develop our products and services without compensation, provided that this does not transfer ownership of your Customer Content or override any confidentiality obligations agreed in writing.
16. Suspension and Restriction of Access
We may temporarily suspend or restrict access to all or part of the Service where reasonably necessary to:
- Protect the security, integrity, or availability of the Service.
- Investigate suspected fraud, unauthorized access, or abuse.
- Address a material violation of these Terms or the Acceptable Use Policy.
- Comply with a legal obligation, court order, or lawful request.
- Address an overdue payment, subject to applicable law and your agreement.
- Prevent harm to other users, third parties, or our infrastructure.
Where reasonably practicable and legally permitted, we will provide notice of a suspension and an opportunity to address the issue.
We will seek to limit any suspension to the scope and duration reasonably necessary in the circumstances. This does not prevent immediate action where necessary to address an urgent security, legal, or operational risk.
17. Termination
You may stop using NFC Vault at any time. If you have a paid subscription, cancellation and any applicable charges will be governed by your subscription terms and our Refund and Cancellation Policy.
We may terminate your access to the Service for a material or repeated breach of these Terms, unlawful use, serious security risk, non-payment, or another lawful reason, subject to applicable law and any applicable written agreement.
Where appropriate and legally permitted, we will provide notice and a reasonable opportunity to remedy a breach before termination.
Upon termination, your right to access the affected Service ends. You should export any Customer Content you need before termination, where access and export remain available.
Following termination, we may delete or de-identify account information and Customer Content in accordance with our Privacy Policy, applicable retention and deletion practices, legal obligations, and any applicable DPA or written agreement.
Copies may remain temporarily in backups or disaster-recovery systems until removed through the ordinary deletion cycle, unless earlier deletion is required by law or an applicable agreement.
18. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided on an “as available” basis, subject to the express commitments contained in these Terms and any applicable written agreement.
We do not warrant that the Service will always be uninterrupted, error-free, compatible with every device or application, or capable of preventing every security incident or data loss.
We do not guarantee that every file can be recovered or that all information stored through the Service will remain available indefinitely.
Nothing in these Terms excludes a warranty, guarantee, right, or remedy that cannot lawfully be excluded or limited under applicable law.
19. Limitation of Liability
To the maximum extent permitted by applicable law, NFC Vault will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, or for loss of profits, revenue, business opportunity, goodwill, or anticipated savings arising from or relating to the Service.
To the maximum extent permitted by applicable law, NFC Vault will not be liable for loss of or corruption of Customer Content to the extent caused by circumstances outside our contractual responsibilities, including your actions, your users’ actions, incorrect sharing permissions, unsupported configurations, or your failure to maintain appropriate independent copies.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury where such exclusion is prohibited, or any other liability that cannot legally be excluded or limited.
For paid services, and subject to mandatory law and any applicable written agreement, our aggregate liability arising from the Service will not exceed the fees paid or payable by you for the affected Service during the twelve (12) months immediately preceding the event giving rise to the claim.
This limitation does not apply where applicable law prohibits it, and a separate written agreement may establish different limits for a particular service or customer.
20. Indemnification
To the extent permitted by applicable law, you agree to be responsible for third-party claims, losses, and reasonable costs arising from your unlawful use of the Service, your material breach of these Terms, or your infringement of another person’s rights through Customer Content that you upload or share.
This section does not require you to indemnify us for losses caused by our own breach of these Terms, negligence, wilful misconduct, or other conduct for which liability cannot lawfully be shifted to you.
Where applicable law restricts indemnification obligations, this section applies only to the extent permitted.
21. Changes to the Service or These Terms
We may modify, update, or discontinue parts of the Service to improve functionality, address security issues, comply with legal requirements, or respond to operational needs.
We may also update these Terms from time to time.
For material changes, we will take reasonable steps to provide notice, such as posting an updated version on the Website, notifying account holders by email, or displaying a notice within the Service, as appropriate.
The updated Terms will state the revision date. Changes will take effect on the date specified in the notice or, where no later date is specified, when published, subject to applicable law.
If you do not agree with a material change, you should stop using the affected Service and may cancel any applicable subscription in accordance with its terms. Continued use after the effective date of revised Terms constitutes acceptance only to the extent permitted by applicable law.
22. Governing Law and Dispute Resolution
Before initiating formal proceedings, the parties may seek to resolve a dispute through good-faith discussions, unless urgent relief or another legal remedy is required.
Do not publish this section until the company’s correct legal jurisdiction and appropriate dispute forum have been confirmed.
23. Changes in Ownership or Business Structure
If NFC Vault undergoes a merger, acquisition, restructuring, or transfer of all or part of its business or assets, the Service and related agreements may be transferred as permitted by applicable law.
Any transfer of personal data will be handled in accordance with the Privacy Policy and applicable data protection requirements.
24. General Provisions
Entire agreement. These Terms, together with any applicable order, subscription terms, Privacy Policy, Acceptable Use Policy, DPA, SLA, and other incorporated agreements, form the agreement governing your use of the Service.
Order of precedence. If these Terms conflict with a separately signed agreement, DPA, SLA, or order form, the signed or service-specific agreement will prevail to the extent of the conflict, unless it expressly states otherwise.
Severability. If a provision is found unenforceable, the remaining provisions will continue to apply to the extent legally permitted.
No waiver. A failure to enforce a provision does not waive the right to enforce it later.
Assignment. You may not transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by law. We may assign these Terms as part of a lawful business transfer or restructuring.
Force majeure. We will not be responsible for delays or failures caused by events beyond our reasonable control, subject to applicable law and any express contractual commitments.
No third-party beneficiaries. Unless expressly stated otherwise or required by law, these Terms do not create enforceable rights for third parties.
Electronic communications. You agree that we may send service-related notices electronically, including by email, through your account, or through the Website, subject to applicable legal requirements.
